Legal

Terms of Service.

Effective date: 5 September 2026

Last updated: 5 September 2026

Please read these Terms carefully. They form a legal agreement between you and Tuku-Tuku Innovation Labs and govern your access to and use of the Tuku Services.

1. About these Terms

These Terms of Service (the “Terms”) govern websites, mobile applications, software platforms, APIs, artificial intelligence features, data services, digital tools and other products or services that are owned, operated or provided by Tuku-Tuku Innovation Labs (“Tuku-Tuku”, “Tuku”, “we”, “our” or “us”). We refer to them collectively as the “Tuku Services”.

The Tuku Services include current and future Tuku-Tuku products and platforms, whether accessed through tukutuku.org, another Tuku-Tuku domain, a mobile application, an API, a partner deployment or another authorised channel. Examples may include business management, intelligence, mapping, mobility, financial, lending, marketplace, programme-management, traceability, resilience, productivity, analytics, prediction and AI products.

Some Tuku Services may have additional product terms, programme rules, order forms, subscription terms, enterprise agreements or other written conditions (“Supplemental Terms”). Supplemental Terms form part of these Terms. If there is a conflict, the Supplemental Terms control only for the relevant product, transaction or relationship.

2. Acceptance of these Terms

By creating an account, clicking an acceptance button, accessing an authenticated service, downloading or using a Tuku application, using an API, purchasing a Tuku Service, or otherwise using the Tuku Services, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the Tuku Services.

If you use a Tuku Service on behalf of a company, organisation, school, cooperative, government institution, programme, employer or other legal entity, you represent that you have authority to bind that entity. In that case, “you” includes that entity where the context requires.

3. Eligibility and age requirements

You must be legally capable of entering into the agreement created by these Terms. Unless a particular Tuku Service expressly permits younger users, you must be at least 18 years old to create an independent account.

A service designed for schools, programmes, children or young people may permit use by a person under 18 where appropriate consent, supervision or institutional authority exists and applicable law is satisfied. Additional safeguards or product-specific terms may apply.

4. Tuku accounts and authentication

Some Tuku Services use a shared Tuku account or authentication system. A single account may enable access to multiple products, subject to your permissions, subscriptions, organisation membership and the functionality available in each product.

You must provide accurate information, keep your credentials secure and promptly notify us if you believe your account has been compromised. You are responsible for activity carried out through your account unless that activity results from a security failure for which Tuku-Tuku is legally responsible.

You may not sell, rent, transfer or share an individual user account in a manner that defeats security, licensing or access controls. We may require identity or account verification where reasonably necessary for security, compliance or access to a particular feature.

5. Organisations, teams and workspaces

Many Tuku Services allow users to create or join organisations, teams, programmes or workspaces. An authorised administrator may invite or remove users, assign roles, manage permissions, access organisational records and control settings.

If you join an organisation-managed workspace, the organisation may control information and activity within that workspace. You are responsible for understanding the organisation's rules and for using organisational information only within the authority given to you.

Organisation administrators are responsible for granting appropriate access, maintaining accurate permissions and ensuring that their users have a lawful basis to enter or process personal, confidential or third-party information through the Tuku Services.

6. Licence to use the Tuku Services

Subject to these Terms and any applicable payment or product conditions, Tuku-Tuku grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Tuku Services for their intended purpose.

This licence does not transfer ownership of any Tuku software, model, design, brand, documentation, database, content or other intellectual property to you.

Except where permitted by law or an applicable open-source licence, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, circumvent security controls, extract source code, scrape protected areas at scale, or create derivative services from the Tuku Services without our written permission.

7. Acceptable use

You must use the Tuku Services lawfully, responsibly and in a manner that does not harm other users, third parties or our systems.

You must not use the Tuku Services to:

  • commit, facilitate, promote or conceal unlawful activity;
  • infringe intellectual property, privacy, confidentiality, publicity or other rights;
  • harass, threaten, bully, stalk, exploit, defame or impersonate another person;
  • upload or distribute malware, malicious code, spam, phishing content or deceptive material;
  • attempt unauthorised access to accounts, systems, data, APIs or networks;
  • interfere with service availability, rate limits, security controls or technical restrictions;
  • collect or expose personal information without an appropriate lawful basis or permission;
  • submit content that sexually exploits or endangers children or otherwise violates applicable child-safety law;
  • publish or distribute content whose primary purpose is pornography, sexual exploitation, hate, violent threats, terrorism, fraud or other prohibited activity;
  • use automated means in a way that materially burdens, disrupts or abuses the Tuku Services; or
  • use the Tuku Services to make decisions about people in a manner prohibited by applicable law.

We may impose reasonable technical limits or protective measures to prevent abuse and preserve service reliability.

8. User content and data

You may be able to upload, create, import, capture, transmit or store information, documents, photographs, messages, records, data, listings, comments or other materials (“User Content”).

You retain ownership of your User Content. You grant Tuku-Tuku a non-exclusive licence to host, store, reproduce, process, transmit, display and otherwise use User Content only as reasonably necessary to operate, secure, support and improve the Tuku Services, comply with law and perform our obligations to you or the organisation controlling the relevant workspace.

You represent that you have the rights and permissions necessary to provide User Content to the Tuku Services and to authorise the processing described in these Terms and our Privacy Policy.

9. User-generated content, reporting and moderation

Where a Tuku Service allows content to be visible or accessible to other users, you must not post objectionable, unlawful or rights-infringing content. This includes content involving threats, harassment, bullying, hate, sexual exploitation, non-consensual intimate material, child sexual abuse or exploitation, fraud, malicious impersonation, unlawful goods or services, or content that encourages serious harm.

We may review, restrict, remove or preserve User Content where reasonably necessary to enforce these Terms, comply with law, protect users or respond to reports. We may also suspend or terminate accounts that repeatedly or seriously violate these requirements.

Where required by the nature of a Tuku product, in-app tools may be provided to report content or users and to block users. Reports should be made in good faith. We may take action proportionate to the nature and severity of the issue.

10. Artificial intelligence and automated features

Some Tuku Services use artificial intelligence, machine learning, predictive systems or automated analysis. Outputs may include summaries, recommendations, classifications, forecasts, scores, generated text, generated media or other machine-generated results (“AI Outputs”).

AI Outputs may be inaccurate, incomplete, outdated or inappropriate for your circumstances. You are responsible for reviewing outputs and exercising independent judgment before relying on them. AI Outputs do not become professional advice merely because they are generated by a Tuku Service.

You must not use Tuku AI features to generate or facilitate content or activity prohibited by these Terms or applicable law. Where an AI feature provides a reporting or feedback mechanism, you may use it to flag unsafe or inappropriate output.

Access to AI features does not give a user permission to access data outside the products, organisations, workspaces and roles for which that user is authorised.

11. Business, financial, tax and lending tools

Tuku Services may provide calculations, forecasts, pricing tools, financial models, payroll calculations, tax estimates, invoices, cash-flow projections, loan information, credit-related workflows or business recommendations. Unless expressly stated in a separate written agreement, these features are software and informational tools and do not constitute legal, tax, accounting, investment, banking, credit or financial advice.

You are responsible for verifying calculations, filing obligations, tax treatment, payroll compliance, financing decisions and other material business decisions. Where a lender, payment provider, bank, mobile-money operator or other third party makes a decision or processes a transaction, that third party's terms and policies may apply.

Use of a Tuku lending or finance-related product does not guarantee approval, funding, repayment performance, creditworthiness or any particular financial outcome.

12. Predictions, sports analytics and probability-based services

Some Tuku Services may provide statistical predictions, probability estimates, sports analytics, reference odds or related informational content. Predictions are inherently uncertain and are not guarantees of future results.

Unless expressly stated otherwise under separate authorised terms, Tuku-Tuku is not a bookmaker, casino or wagering operator and does not accept bets. Users are responsible for complying with local age restrictions and gambling laws and for deciding whether and how to use analytical information.

You should never treat a model confidence score, prediction or reference price as a guarantee of profit or as personalised financial advice.

13. Maps, traffic, navigation and location services

Location, route, mapping, traffic, incident and navigation information may be delayed, incomplete or inaccurate because of network conditions, third-party map data, user reports or changing real-world conditions.

Always obey road signs, traffic laws and instructions from competent authorities. Do not interact with a device in an unsafe manner while driving or operating machinery. Tuku-Tuku does not guarantee that a suggested route is safe, lawful, open or suitable for a particular vehicle or journey.

14. Marketplaces, logistics and third-party providers

A Tuku Service may enable users to discover, order from, transact with, coordinate with or obtain services from independent merchants, transporters, delivery providers, professionals, institutions or other third parties.

Unless Tuku-Tuku expressly identifies itself as the seller or service provider for a transaction, the third party remains responsible for the goods or services it provides. Additional merchant, delivery, payment or marketplace terms may apply.

15. Institutional and programme deployments

Some Tuku Services are deployed for employers, development programmes, schools, cooperatives, governments, NGOs, businesses or other institutions. The institution may determine the purposes for which certain information is collected and may control access to its workspace.

Your use of those deployments may also be subject to programme rules, employment policies, institutional privacy notices or agreements between Tuku-Tuku and the institution.

16. Fees, subscriptions and payments

Some Tuku Services are free and others may require payment. Prices, billing intervals, included features, usage limits and renewal conditions will be disclosed at or before purchase.

If you purchase a recurring subscription, you authorise the applicable payment method or app store to charge the stated recurring amount until cancellation, subject to the cancellation terms presented at purchase. You are responsible for applicable taxes unless the law requires us to collect them.

Payments may be processed by app stores, banks, mobile-money operators or third-party payment processors. Their terms and privacy practices may also apply.

Refunds are handled according to the terms presented at purchase, the policy of the payment platform or app store through which you paid, and any non-waivable rights under applicable law.

17. Free trials, pilots, previews and promotions

We may provide trials, pilots, promotional access, early-access releases or discounted services. We may limit eligibility, duration, usage or features and may end or modify a promotion as permitted by law. If a trial converts to a paid subscription, the conversion and price will be disclosed before you become liable for payment.

18. APIs, integrations and developer access

If we provide an API, webhook, developer credential, SDK or integration, you may use it only within documented limits and for authorised purposes. You must protect credentials, respect rate limits and security controls, and must not use API access to bypass product permissions or extract data you are not authorised to access.

We may change, version, limit or discontinue APIs where reasonably necessary. We will aim to provide notice of material breaking changes where practicable, particularly for paid enterprise integrations.

19. Third-party services and open-source software

The Tuku Services may interoperate with third-party services such as maps, payment platforms, messaging providers, cloud infrastructure, app stores, identity providers or AI providers. Your use of a third-party service may be subject to that provider's terms.

Open-source components included in Tuku software remain subject to their applicable open-source licences. Those licences control if they conflict with these Terms regarding the relevant component.

20. Privacy and data protection

Our Privacy Policy explains how we collect, use, share, protect, retain and delete personal information. Product-specific privacy disclosures may supplement that policy where a feature has distinct data practices.

Where an organisation uses Tuku-Tuku as a processor or service provider for personal information it controls, separate data-processing terms may apply.

21. Security

We use technical and organisational measures designed to protect the Tuku Services and information processed through them. You must not knowingly weaken security or attempt to evade authentication, authorisation, monitoring or abuse-prevention controls.

If you discover a suspected vulnerability, please report it responsibly to info@tukutuku.org and do not exploit it or access data beyond what is necessary to demonstrate the issue.

22. Intellectual property

The Tuku Services, including software, interfaces, visual design, documentation, trademarks, logos, databases, models, original content and other materials, are owned by Tuku-Tuku or our licensors and are protected by applicable intellectual-property laws.

“Tuku-Tuku”, “Tuku”, product names, logos and related branding may not be used in a way that falsely suggests endorsement, partnership or ownership without permission.

If you provide feedback, suggestions or ideas about the Tuku Services, you grant us permission to use that feedback without restriction or payment, provided we do not publicly identify you as the source without permission.

23. Copyright and rights complaints

If you believe content available through a Tuku Service infringes your copyright or another legal right, contact us with enough information to identify the material, the right you claim and how we can reach you. We may remove or restrict content while a complaint is reviewed where appropriate.

24. Beta and experimental features

Features identified as beta, preview, experimental, pilot or early access may be incomplete, change without notice, produce unexpected results or be discontinued. You should not rely on experimental features for critical operations unless we expressly agree otherwise in writing.

25. Service availability and changes

We work to provide reliable services but do not guarantee uninterrupted availability. Services may be unavailable because of maintenance, network failures, third-party outages, security events, force majeure or other circumstances.

We may add, remove or change features and may discontinue a Tuku Service. Where a material change affects a paid service, we will provide reasonable notice where practicable and honour any rights required by law or applicable Supplemental Terms.

26. Suspension and termination

You may stop using a Tuku Service at any time. You may cancel a paid subscription using the method provided for that subscription.

We may restrict, suspend or terminate access where reasonably necessary because of a serious or repeated breach of these Terms, non-payment, security risk, fraud, unlawful activity, a legal requirement or conduct that creates material harm to users, third parties or the Tuku Services.

Where appropriate, we will provide notice and an opportunity to remedy a breach before termination, but immediate action may be taken where necessary to prevent harm, comply with law or protect security.

27. Account deletion and information after termination

Where a Tuku Service permits account creation, you may request account deletion through the method made available in the product or through our external account-deletion process. Deletion and retention are handled according to our Privacy Policy.

Deleting an individual account does not necessarily require deletion of legitimate organisational records that belong to an organisation, are required for legal or financial compliance, or must be retained for another lawful reason.

28. Disclaimers

To the maximum extent permitted by law, the Tuku Services are provided “as is” and “as available”. We do not warrant that every service will be uninterrupted, error-free, completely secure, suitable for every purpose or that every data source, prediction, calculation or output will be accurate.

Nothing in these Terms excludes a warranty, guarantee or consumer right that cannot lawfully be excluded.

29. Limitation of liability

To the maximum extent permitted by law, Tuku-Tuku and its directors, employees, contractors and affiliates will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, including loss of profits, revenue, opportunity, goodwill or data, arising from use of or inability to use the Tuku Services.

To the maximum extent permitted by law, our aggregate liability arising out of a particular Tuku Service will not exceed the amount you paid or were required to pay Tuku-Tuku for that Service during the 12 months immediately preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot legally be limited or excluded.

30. Indemnity for business and organisational use

If you use the Tuku Services on behalf of a business or organisation, you agree, to the extent permitted by law, to indemnify and hold Tuku-Tuku harmless from third-party claims arising from your organisation's unlawful use of the Tuku Services, its User Content, its infringement of third-party rights, or its material breach of these Terms.

This section does not require you to indemnify Tuku-Tuku for claims caused by Tuku-Tuku's own unlawful conduct.

31. Force majeure

Neither party will be responsible for delay or failure caused by events beyond its reasonable control, including major telecommunications outages, natural disasters, war, civil disorder, government action, labour disruption, epidemics, cyberattacks or failures of critical third-party infrastructure, provided reasonable steps are taken to reduce the impact where possible.

32. App stores and mobile platforms

If you download a Tuku application from Google Play, the Apple App Store or another distribution platform, your use of that platform is also subject to its terms. The app store is not responsible for providing the Tuku Service unless its own terms state otherwise.

Where an app-store rule conflicts with these Terms solely regarding the store's distribution or billing relationship, the applicable app-store rule will control to the extent required.

33. Electronic communications

You agree that notices, agreements, disclosures and other communications may be provided electronically, including through a Tuku Service, email or our website, where permitted by law. Electronic acceptance may have the same legal effect as a handwritten signature where applicable law recognises it.

34. Changes to these Terms

We may update these Terms to reflect changes in our products, business, law, security requirements or practices. We will update the “Last updated” date and provide additional notice where a change is material and applicable law requires it.

Unless a different effective date is stated, updated Terms apply when posted. If you continue using a Tuku Service after updated Terms become effective, you agree to the updated Terms. If you do not agree, you must stop using the affected Service.

35. Governing law and disputes

These Terms are governed by the laws of the Republic of Uganda, without regard to conflict-of-law principles, except where mandatory law in another jurisdiction applies to you and cannot lawfully be excluded.

Before starting formal proceedings, you and Tuku-Tuku agree to make a reasonable effort to resolve a dispute informally. A party should send written notice describing the dispute and requested resolution. If the dispute is not resolved within 30 days, either party may pursue available legal remedies.

Subject to any mandatory rights you may have elsewhere, disputes arising from these Terms are subject to the jurisdiction of the competent courts of Uganda.

36. General provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect and the invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted.

Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign these Terms without our written consent, except as permitted by law. We may assign these Terms as part of a merger, restructuring, financing, sale of assets or transfer of the relevant Tuku Service.

These Terms, together with the Privacy Policy and any applicable Supplemental Terms, constitute the agreement governing your use of the relevant Tuku Services and supersede prior general terms on the same subject.
